In these Terms and Conditions, the Provider is referred to as the “Provider”, and the natural or legal person using the service as the “User”.
1.1. Hosting providers
Serving of the website and the application: Netlify, Inc. (United States, https://www.netlify.com). Operation of the database, the user accounts and the backend services: Supabase, Inc. (United States, https://supabase.com).
2. Scope and acceptance of the Terms and Conditions
2.1. These Terms and Conditions govern all contracts concluded between the Provider and the User through marveen.io or app.marveen.io.
2.2. During registration, the User must expressly accept these Terms and Conditions and the Privacy Notice by ticking a separate checkbox. Registration cannot be completed without ticking the checkbox. The Provider records the fact and time of acceptance and the version numbers of the documents.
2.3. Use of the Service constitutes acceptance of these Terms and Conditions. Anyone who does not accept the Terms and Conditions may not use the Service.
2.4. The Provider may amend these Terms and Conditions unilaterally. The Provider notifies the User of an amendment at the User’s registered e-mail address or in the application at least 15 days before it takes effect. If the User does not accept the amendment, the User may terminate the contract until the amendment takes effect. In the case of a subscription service, the Provider settles, on a pro rata basis, the period already paid for but not yet provided.
2.5. The Terms and Conditions in force at any given time are available and can be saved at https://marveen.io/aszf.
3. Definitions
Marveen project (open source): the assistant system developed by the Provider, publicly available at https://github.com/Szotasz/marveen under the MIT license. Anyone may download, use, modify and redistribute it free of charge in accordance with the terms of the MIT license.
Installer: the closed-source program created by the Provider that conveniently sets up the Marveen project on the User’s device.
Bridge: the closed-source add-on created by the Provider that enables remote access to the installed system.
License key: the identifier that serves as proof of the purchased entitlement. The license key does not restrict the operation of the open-source system.
Installation: setting up the system on the User’s device, in accordance with the content of the purchased package.
Guide membership: subscription-based access to the Provider’s community platform and learning materials.
Community platform: the feed, the courses and the content shared by users, available on app.marveen.io.
Skill, extension, add-on: a separate functional unit that can be installed for the Marveen software (instruction set, script, MCP server, connector, configuration, prompt), which may originate from the Provider, from a third party or from the User.
Agent: a process running in the Marveen software that performs operations on behalf of the User.
4. Content of the Service
4.1. The Provider provides the following services:
a) Installer software and licence (one-off packages). The exact content and price of the packages are as shown on https://marveen.io at the time of the order. In addition to the installer software and licence, individual packages may include a fixed-term Guide membership and consultation hours.
The Provider expressly states: the Marveen system itself is open source and can be obtained free of charge from GitHub (point 8.1.). The one-off fee is paid for the use and the licence of the installer program, and for the further services specified in the package, not for the open-source system itself.
b) Guide membership (subscription, billed monthly or annually). Access to the community platform, to the courses for members and to the membership features.
c) Free access (FREE): limited content available upon registration.
d) Trial period: every new registration has free access to the content of the Guide membership for 14 days from registration. The trial period starts without providing a bank card and does not automatically convert into a paid subscription: after the 14 days have elapsed, access automatically reverts to the free tier. The Provider may change the length of the trial period or discontinue it with effect for the future, without affecting trial periods already started.
e) Consultation, if the purchased package includes it.
f) Physical product. The Provider also sells a physical product (currently: a 3D-printed stand for the Mac mini). The description and price of the product and the delivery terms are as shown on https://marveen.io/talp at the time of the order. Points 6.10., 7.6. and 7.7. contain separate provisions for the physical product.
4.2. The Marveen software runs on the User’s own device, under the User’s supervision. For it to operate, the User needs their own subscription, account or access to third-party services (in particular, an artificial intelligence service). The fees, terms and availability of these are not within the Provider’s competence and do not form the subject matter of this contract.
4.3. The Service assumes that the User’s own device and operating system are suitable. The Provider publishes the system requirements on the website.
5. Registration, conclusion of the contract
5.1. Registration requires providing a display name, an e-mail address and a password, and accepting the Terms and Conditions and the Privacy Notice. Registration is completed by e-mail confirmation.
5.2. The Service may be used by natural persons who have reached the age of 16, and by representatives acting on behalf of a legal person. A User under the age of 18 may order a paid service only with the consent of their legal representative.
5.3. The User must provide true data. The User is liable for the consequences of providing false data.
5.4. In the case of a paid service, the contract is concluded upon successful completion of the payment. The contract is concluded in English and Hungarian; in case of any discrepancy, the English version prevails (18.5). The contract does not qualify as a contract in writing, is not filed by the Provider and is not accessible afterwards.
5.5. The User is responsible for keeping the password of their account secure and for all activity performed with their account. If unauthorised access is suspected, the User must notify the Provider without delay.
6. Fees, payment, invoicing
6.1. Prices are net; any applicable taxes are calculated at checkout. The total amount payable, including any taxes calculated at checkout, is shown on the payment page. The currency of the fees depends on the language you choose: Hungarian forint (HUF) on the Hungarian site, US dollar (USD) on the English site. The net-price rule above applies to the price of the physical product (point 4.1. f)) and to the delivery fee.
6.2. Payment is made by bank card through the Stripe payment service provider. The Provider does not learn or store the User’s card details.
6.3. For the purchase the User receives an electronic invoice or receipt from Stripe’s system at the e-mail address provided. For digital products (community membership, installer software and licence) the receipt is issued by Link as the seller; for the physical product (the stand) the invoice is issued in the Provider’s name. The User accepts the electronic invoice or receipt.
6.4. The subscription is for the selected period (month or year) and renews automatically in Stripe’s system until the User terminates it. The renewal fee is the fee in force at the time of renewal.
6.5. The User may terminate the subscription at any time, without giving reasons, in their account or by e-mail sent to the Provider. Termination takes effect at the end of the current, already paid period: the User retains access until the end of the period, and no further charge is made. The Provider does not grant a pro rata refund for the current period, except in the case of withdrawal under point 7. or where the law provides otherwise.
6.6. In the event of a fee change, the Provider notifies the User at least 30 days before the next renewal. The User may terminate until the change takes effect.
6.7. If a payment fails, the Provider may attempt the charge again. If the payment fails definitively, the Provider may suspend paid access or revert it to the free tier.
6.8. A discount coupon may be used in accordance with the coupon’s own terms. A coupon cannot be exchanged for cash.
6.9. Lifetime Guide membership (one-off fee, indefinite term).
6.9.1. As part of a periodic promotion, the Provider may offer a Lifetime Guide membership: the User pays a one-off fee and in return may use the services belonging to the Guide membership for an indefinite period, without paying any further fee. The Lifetime Guide membership is not a subscription: it does not renew, it is not charged again, and points 6.4., 6.5. and 6.6. do not apply to it.
6.9.2. The term “lifetime” refers to the lifetime of the Service, not to the lifetime of the User. The membership exists for as long as the Provider provides the Guide service.
6.9.3. If the Provider permanently discontinues the provision of the Guide service, it notifies the User at least 90 days in advance. In this case, the Provider grants a fair, proportionate refund with regard to the time elapsed until the date of discontinuation, and communicates its method of calculation in the notice. The basis of the refund is the one-off fee; the Provider takes into account the length of time for which the membership existed.
6.9.4. The Lifetime Guide membership is personal to the User: it cannot be transferred, resold or shared with another person. Breach of this obligation qualifies as a serious breach of contract under point 9.
6.9.5. The 30-day right of termination without giving reasons under point 7.5. does not apply to the Lifetime Guide membership. The Provider may terminate the Lifetime Guide membership, with immediate effect, only in the event of a serious breach of contract by the User (in particular, breach of points 9., 10. and 6.9.4.).
6.9.6. Consumer withdrawal. The consumer has the right to withdraw without giving reasons within 14 days from the conclusion of the contract. Since the Lifetime Guide membership is for an indefinite period, the pro rata fee calculation under point 7.1. cannot be applied: the Provider refunds the full one-off fee within 14 days of becoming aware of the withdrawal.
6.9.7. Upper limit of liability. For the purposes of the limitation under point 12.4., in the case of the Lifetime Guide membership the upper limit is the amount of the one-off fee paid, regardless of when the payment was made. The exceptions in point 12.6. continue to apply.
6.9.8. In the event of deletion of the account, point 14.3. applies accordingly: upon deletion, the online services tied to the entitlement will no longer be available. At the User’s request, the Provider may assign the membership to the User’s new account.
6.10. Physical product: price, delivery and receipt.
6.10.1. The price of the physical product shown on the website is a net price; any applicable taxes are calculated at checkout. The price of the product and the delivery fee are two separate items, and they also appear on two separate lines on the invoice or receipt.
6.10.2. The delivery fee is the amount shown on the website and in the order summary at the time of the order. The Provider may change the delivery fee with effect for the future; for orders already placed, the fee shown at the time of the order applies.
6.10.3. Method of delivery: Foxpost parcel locker. The User selects the pickup locker during the order. The Provider delivers the parcel to the pickup point; it does not undertake home delivery.
6.10.4. The Provider dispatches the parcel within 3 business days of receipt of the payment. The partner service provider sends a notification about the pickup of the parcel to the telephone number provided by the User.
6.10.5. Uncollected parcel. If the User does not collect the parcel within the deadline set by the pickup point, the partner service provider returns the parcel to the Provider. In this case, the Provider refunds the price of the product, but not the delivery fee, since it has performed the delivery service. If the User requests the product again, this can take place as a new order, upon payment of a new delivery fee. This point applies to the case where the User has not exercised the right of withdrawal. If the User withdraws, point 7.6.5. applies, and in that case the Provider also refunds the delivery fee. Failure to collect the parcel does not in itself qualify as withdrawal; withdrawal must be communicated in accordance with point 7.6.3.
7. Withdrawal and termination by a consumer
This point applies to the consumer, that is, a natural person acting outside the scope of their profession, independent occupation or business activity. The detailed rules of contracts between consumers and businesses are laid down in Government Decree 45/2014 (II. 26.).
7.1. Subscription (Guide membership): the consumer has the right to withdraw without giving reasons within 14 days from the conclusion of the contract. If the consumer expressly requested that performance begin within the 14-day period and withdraws within the period, the consumer must pay the pro rata fee of the service already performed.
7.2. Installer packages (digital content): the consumer loses the right of withdrawal if performance has begun with the consumer’s express prior consent, and, at the same time as giving that consent, the consumer acknowledged that they lose the right of withdrawal once performance has begun. The Provider obtains this declaration in a separate checkbox during the order and records the fact of the declaration. In the absence of this declaration, the consumer may exercise the 14-day right of withdrawal even after the installer and the license key have been handed over.
7.3. Service (consultation): the consumer loses the right of withdrawal after the service has been performed in full, if performance began with the consumer’s express prior consent. In the case of partial performance, the Provider is entitled to the fee for the hours used.
7.4. The consumer may communicate the declaration of withdrawal by an unequivocal statement sent to szabolcs@marveen.io. The Provider makes the refund within 14 days of becoming aware of the withdrawal, using the same means as the payment.
7.5. The Provider may terminate the contract without giving reasons with a notice period of 30 days; in this case it refunds, on a pro rata basis, the fee paid in advance for the period not yet provided. In the event of a serious breach of contract by the User (in particular, breach of the provisions of points 9. and 10.), the Provider may terminate the contract with immediate effect and terminate access.
7.6. Physical product: withdrawal.
7.6.1. The consumer has the right to withdraw without giving reasons within 14 days from receipt of the product. The period begins when the product is received by the consumer or by a third party designated by the consumer, not when the contract is concluded. The right of withdrawal may also be exercised before the expiry of the period, from the day the contract is concluded.
7.6.2. When the physical product is ordered, the Provider neither requests nor accepts any declaration by which the consumer would waive the right of withdrawal. The waiver under point 7.2. applies only to digital content and does not apply to physical products.
7.6.3. The consumer may communicate the declaration of withdrawal by an unequivocal statement sent to szabolcs@marveen.io. The consumer must send back the product or hand it over to the Provider within 14 days of making the declaration of withdrawal.
7.6.4. The direct cost of returning the product is borne by the consumer. The Provider also informs the consumer of this obligation on the ordering interface, before payment begins.
7.6.5. The Provider refunds the full amount paid by the consumer, including the delivery fee, within 14 days of becoming aware of the withdrawal, using the same means as the payment. The Provider may withhold the refund until it has received the product back or until the consumer has proven that they have sent it back, whichever is earlier.
7.6.6. The consumer is liable for any diminished value of the product resulting from use beyond what is necessary to establish the nature, characteristics and functioning of the product.
7.7. Physical product: warranty for defects (kellékszavatosság) and product warranty (termékszavatosság).
7.7.1. Warranty for defects. In the event of defective performance by the Provider, the User may assert a warranty claim in accordance with the rules of the Civil Code. At the User’s choice, the User may request repair or replacement, unless fulfilling the chosen claim is impossible or would cause the Provider disproportionate additional costs. If the User did not or could not request repair or replacement, the User may claim a proportionate reduction of the consideration, may repair the defect themselves or have it repaired by another person at the Provider’s expense, or may withdraw from the contract. Withdrawal is not available for an insignificant defect.
7.7.2. The User must communicate the defect without delay after discovering it, but no later than within two months of discovering the defect. The User can no longer assert warranty rights after two years from performance of the contract. Within one year of performance, there is no condition for asserting a warranty claim other than communicating the defect, provided that the User proves that the product was purchased from the Provider. After one year from performance has elapsed, the User must prove that the defect already existed at the time of performance.
7.7.3. Product warranty. In the event of a defect in the product, instead of the claim under point 7.7.1., the consumer may also request the repair of the defect or the replacement of the product directly from the manufacturer. For the purposes of this point, the manufacturer of the product specified in point 4.1. f) is the Provider itself, since the Provider produces the product; the consumer therefore has no other party to turn to and may report the claim to the same place. The product is defective if it does not comply with the quality requirements in force at the time it was placed on the market by the manufacturer, or if it does not have the characteristics stated in the description given by the manufacturer. The consumer may assert a product warranty claim within two years from the product being placed on the market by the manufacturer. A warranty claim for defects and a product warranty claim cannot be asserted at the same time, in parallel, for the same defect.
7.7.4. The User may report a warranty claim at szabolcs@marveen.io. The Provider draws up a record of the report, and point 16. applies to complaint handling.
8. The open-source project and the closed components
8.1. The Marveen system is open source. The project is publicly available at https://github.com/Szotasz/marveen under the MIT license. These Terms and Conditions do not and cannot contain any restriction on it: only the terms of the MIT license apply. The system can be downloaded, used, modified and redistributed free of charge, independently of any contract concluded with the Provider. The restrictions of points 8.3. and 8.4. do not apply to the open-source project.
8.2. The MIT license provides the system without warranty (as is). Under these Terms and Conditions, the Provider is not liable for the independent download, operation and use of the open-source project; the Provider’s obligations under these Terms and Conditions apply within the scope of the purchased services.
8.3. Closed-source components. The installer program and the Bridge created by the Provider are not part of the open-source project. For these, the Provider grants a non-exclusive, non-transferable right of use to the extent corresponding to the purchased package. The User is not entitled to redistribute, resell, rent out or publish them.
8.4. The installer entitles the User to use it on the number of devices specified in the package description. The Provider keeps record of the entitlement on the basis of a technical identifier. Use of the Bridge requires a membership in accordance with the package description or a separately purchased entitlement.
8.5. The User may create their own skills, extensions and configuration for the system; these are the property of the User.
8.6. Both the open-source project and the closed components may contain components originating from third parties, which are governed by their own license terms.
8.7. In the event of a serious breach of contract, the Provider may revoke the right of use under point 8.3. This does not affect the rights relating to the open-source project that are based on the MIT license.
8.8. The Provider does not undertake to provide updates or support for an indefinite period; this is determined by the package description in force at any given time and by the existing membership. Updates to the open-source project are publicly available.
9. Responsibility of the User
9.1. The Marveen software performs operations on the User’s device, under the User’s supervision and on the basis of the User’s instructions, including writing and deleting files, running commands, sending network requests, and performing operations in external accounts connected by the User (e-mail, calendar, storage, development and financial systems).
9.2. The User is responsible for these operations and their consequences. It is the User’s responsibility to decide what permissions to give the software, which external systems to connect and which operations to allow.
9.3. The User must make regular backups of their own data. The Provider accepts no liability for data loss occurring on the User’s device.
9.4. The User must keep their access credentials, API keys and tokens secure and may not share them with any third party.
9.5. The User may not use the Service for unlawful purposes, to infringe the rights of others, to obtain unauthorised access, to send unsolicited messages, or to overload the Service or third-party systems.
9.6. The uploading User is responsible for content uploaded to the community platform. The User warrants that they have the right to dispose of the uploaded content and that it does not infringe the rights of any third party.
10. Skills, extensions and content originating from third parties
This point is an essential condition of using the Service. Please read it carefully.
10.1. The Marveen software is capable of running skills, extensions, MCP servers, connectors, scripts, prompt sets and configurations installed by the User that do not originate from the Provider. These are created by third parties, other users or the User themselves.
10.2. The Provider does not create, check, test, certify or pre-moderate such materials. The fact that a material works with the Marveen software or appears on the community platform does not constitute approval, endorsement or quality certification by the Provider.
10.3. Installing, running and using such materials is solely the User’s decision and at the User’s risk. To the fullest extent permitted by law, the Provider excludes its liability for any damage, detriment or claim arising from the installation, operation, defect or absence of any skill, extension, add-on, script, configuration, prompt or other material that does not originate from the Provider. This covers in particular data loss, unauthorised access to or transfer of data, damage occurring on the User’s device or in the User’s external accounts, costs incurred with a third-party service, and loss of profit.
10.4. The same applies to materials shared by other users on the community platform (skill, prompt, code, document, comment, learning material). With regard to these, the Provider acts as a hosting service provider. The Provider removes infringing or harmful content upon notification, but is not obliged to check content in advance and does not do so.
10.5. The same applies to external services that the User connects to the Marveen software. The respective service provider is responsible for their operation, availability, pricing and data processing, in accordance with its own terms.
10.6. The User must indemnify the Provider against any claim, demand, fine and cost that a third party asserts against the Provider in connection with material installed, created or shared by the User.
10.7. The limitation of liability in this point does not extend to liability for a breach of contract caused intentionally, or for a breach of contract causing harm to human life, physical integrity or health, nor to any case in which the law excludes the limitation of liability.
11. Use of artificial intelligence
11.1. The Service contains artificial intelligence-based features and enables the use of such features. The output produced in this way is probabilistic in nature: it may be inaccurate, incomplete or wrong.
11.2. The output does not qualify as legal, tax, financial, medical or other expert advice. It is the User’s responsibility to check the output before basing a decision on it.
11.3. The Provider does not warrant the correctness, completeness, fitness for a particular purpose or freedom from third-party rights of the output.
12. Liability of the Provider, availability
12.1. The Provider provides the Service in its current state and endeavours to keep it continuously available. The Provider does not undertake any specific service level (SLA), unless the parties agree otherwise separately in writing.
12.2. The Provider is entitled to suspend the Service for maintenance purposes, with prior notice where possible.
12.3. The Provider is not liable for any defect or outage of the Service that is attributable to the User’s device, internet connection, operating system or a third-party service.
12.4. The Provider’s liability for damages for breach of contract, with the exceptions set out in point 12.6., is limited to at most the amount of the fees actually paid by the User to the Provider in the 12 months preceding the claim arising.
12.5. The Provider is not liable for loss of profit, indirect or consequential damage, or business loss resulting from data loss.
12.6. The limitations under points 12.4. and 12.5. do not apply to liability for a breach of contract caused intentionally, or for a breach of contract causing harm to human life, physical integrity or health, or where the law excludes the limitation of liability.
13. Intellectual property
13.1. The website, the documentation, the courses, the learning materials, the installer program and the Bridge are protected by copyright. The rightholder is the Provider.
13.2. The User may use these only within the right of use under these Terms and Conditions, for their own purposes. Copying, distribution, communication to the public, adaptation and resale are prohibited without the Provider’s prior written permission.
13.3. This point does not apply to the open-source Marveen project: only the terms of the MIT license apply to it (point 8.1.). The copyright there also belongs to the Provider, but the permission to use is granted by the MIT license itself, and these Terms and Conditions do not narrow it.
13.3. The copyright in content uploaded to the community platform belongs to the uploader. By uploading, the uploader grants the Provider a non-exclusive, royalty-free right of use to store the content in the course of operating the Service and to display it to authorised users.
14. Termination of the contract, deletion of the account
14.1. The User may request the deletion of their account at any time at szabolcs@marveen.io. Upon deletion, access ceases.
14.2. Deletion of the account does not affect the Provider’s statutory data retention obligations (in particular, regarding accounting records).
14.3. In the case of a one-off fee installer package, deletion of the account does not terminate the right of use already acquired, but the online services tied to the entitlement (activation, download, support) will no longer be available. Deletion of the account does not affect the use of the open-source Marveen project in any way: it can continue to be used under the MIT license, independently of the Provider.
15. Force majeure
Neither party is liable for a breach of contract if it was caused by a circumstance beyond its control that was unforeseeable and that could not be expected to be averted (in particular: natural disaster, war, measures by authorities, nationwide internet outage, prolonged outage of an essential external service).
16. Complaint handling and legal remedies
16.1. The User may submit a complaint at szabolcs@marveen.io. The Provider investigates the complaint and responds in writing within 30 days of its receipt.
16.2. Consumer protection procedure: the consumer may turn to the body acting in the consumer protection competence of the Budapest or county government office (fővárosi vagy vármegyei kormányhivatal) competent according to the consumer’s place of residence.
16.3. Conciliation board: in disputes concerning the quality of the service and the conclusion and performance of the contract, the consumer may turn to a conciliation board (békéltető testület). The board competent according to the Provider’s registered office:
Borsod-Abaúj-Zemplén Vármegyei Békéltető Testület (Conciliation Board of Borsod-Abaúj-Zemplén County; its competence covers Borsod-Abaúj-Zemplén, Heves and Nógrád counties) Address: 3525 Miskolc, Szentpáli u. 1. Postal address: 3501 Miskolc, Pf. 376. Phone: 46/501-090 E-mail: bekeltetes@bokik.hu Website: https://bekeltetes.borsodmegye.hu
The consumer may also turn to the board competent according to the consumer’s place of residence; the contact details of the boards are available at https://bekeltetes.hu. The Provider is obliged to cooperate in the conciliation board procedure.
16.4. Court proceedings: the parties shall primarily settle any dispute by negotiation. If this is unsuccessful, the Hungarian courts have jurisdiction, applying Hungarian law. In the case of a contract concluded with a consumer, jurisdiction is governed by the rules of the Code of Civil Procedure.
17. Data processing
The processing of personal data is governed by the Privacy Notice, which is available at https://marveen.io/adatkezelesi and forms an integral part of these Terms and Conditions.
18. Final provisions
18.1. In matters not regulated by these Terms and Conditions, the provisions of Act V of 2013 on the Civil Code (Ptk.), Act CVIII of 2001 on Electronic Commerce Services, Government Decree 45/2014 (II. 26.) on the detailed rules of contracts between consumers and businesses, and Act CLV of 1997 on Consumer Protection apply.
18.2. If any provision of these Terms and Conditions is invalid, this does not affect the validity of the other provisions.
18.3. The primary channel of communication between the parties is e-mail. The Provider considers a notice sent to the e-mail address provided by the User to have been delivered.
18.4. The Provider is not entitled to assign the contract to a third party without the User’s prior consent, except in the case of a transfer of the business as a whole or of the business line of the Service; the Provider notifies the User of this in advance.
18.5. These Terms and Conditions have been prepared in Hungarian and English. In case of any discrepancy, the English version prevails.
